IoT Automate

These Terms of Service ("Terms") govern your access to and use of the IoT Automate website, web portal, mobile application, devices, and related services (collectively, the "Services"), operated by Ingenzio ("we," "us," or the "Company"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

IoT Automate provides remote monitoring and supervisory control of pump systems and related agricultural equipment, through connected devices, a cloud platform, a web portal, and a mobile application. Features available to you depend on your subscription plan.

2. Supervisory System — Not a Safety Device

Important — read this. IoT Automate is a supervisory and convenience system. It is not a safety device and must not be relied upon as one. The existing manual controls of your equipment remain the primary means of operation and continue to function independently of the Services. You must not remove, bypass, or disable manual controls or existing safety systems. Do not use the Services as the sole control for any safety-critical, life-critical, or hazardous process.

The Services may be affected by factors outside our control, including internet or power outages, connectivity limitations, device conditions, and equipment behavior. You are responsible for maintaining appropriate manual operation, supervision, and safeguards for your equipment.

3. Accounts and Organizations

You must provide accurate information when creating an account and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Accounts are organized under an organization; the organization owner is responsible for managing members and their access.

4. Subscriptions, Billing, and Devices

• Subscriptions: paid features require an active subscription, billed to the organization through our payment processor (Stripe). Prices, included capacity, and additional-unit fees are as presented at purchase.
• Lapse: if a subscription lapses, access to paid features may be reduced (for example, to monitoring/read-only), subject to any grace period. Manual controls of your equipment are never affected by subscription status.
• Hardware and software: hardware is sold to you; the firmware and software are licensed, not sold. Your right to use the software is tied to an active subscription and these Terms.

5. License and Restrictions

Subject to these Terms and an active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business and agricultural operations. You agree not to:

• copy, modify, reverse-engineer, decompile, or attempt to extract source code or firmware, except as permitted by law;
• resell, sublicense, rent, or provide the Services to third parties except within your organization;
• circumvent security, device identity, licensing, or access controls;
• use the Services unlawfully, to infringe others' rights, or to interfere with or disrupt the Services;
• use the Services as a safety, life-critical, or sole control system, as described in Section 2.

6. Intellectual Property

The Services, including all hardware designs, firmware, software, platform, content, trademarks, and brands (including "Ingenzio" and "IoT Automate"), are owned by the Company and protected by law. Except for the limited license granted here, no rights are transferred to you. You retain ownership of the data you provide; you grant us the rights necessary to operate and provide the Services to you.

7. Customer Data

Your account, organization, and device data are handled as described in our Privacy Policy. You are responsible for the accuracy of information you enter and for how members of your organization use the Services.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR ALWAYS AVAILABLE. YOU ASSUME RESPONSIBILITY FOR MAINTAINING MANUAL OPERATION AND SAFEGUARDS FOR YOUR EQUIPMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST CROPS, EQUIPMENT DAMAGE, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM.

10. Indemnification

You agree to indemnify and hold the Company harmless from claims arising out of your use of the Services in violation of these Terms or applicable law, or from your failure to maintain proper manual operation and safeguards for your equipment.

11. Suspension and Termination

We may suspend or terminate access to the Services for violation of these Terms, non-payment, or misuse. You may stop using the Services at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

12. Changes to the Services or Terms

We may modify the Services or these Terms. When we change these Terms, we will update the "Last updated" date and, where appropriate, provide notice. Continued use after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict-of-laws principles. The courts located in Puerto Rico will have jurisdiction over disputes, except where applicable law provides otherwise.
